NOTED & CHARMED — TERMS OF SERVICE

1. Overview

Welcome to Noted & Charmed (“we”, “us”, “our”). We provide digital Canva templates and related digital products through our website and Shopify‑powered storefront (the “Services”). By accessing our website, purchasing a product, or using any part of the Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our Services.

2. Access and Account

To use our Services, you may be required to provide accurate and current information such as your email address and payment details. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You may not transfer or share your account with others.

3. Our Products (Digital Templates Only)

Noted & Charmed sells digital Canva templates only. No physical products are shipped. Colors, fonts, and layout appearance may vary depending on your device, printer, or Canva updates. All product descriptions are subject to change without notice.

4. Orders

When you place an order, you are making an offer to purchase. Your order is accepted once payment is processed and digital access is delivered. Because our products are digital, all sales are final. Please review product descriptions carefully before purchasing.

5. Prices and Billing

Prices may change at any time without notice. You agree to provide accurate billing information and authorize us to charge your payment method for all purchases. Taxes may apply depending on your location.

6. Digital Delivery

Upon purchase, you will receive a download link and/or a direct Canva template link. Delivery is considered complete once the digital file or link is provided.

Template links are delivered once at the time of purchase 
and remain accessible through Canva as long as your Canva 
account is active. Noted & Charmed is not responsible for 
lost, expired, or inaccessible links. Link re-delivery 
requests may be accommodated within 30 days of purchase 
as a courtesy, at our discretion. After 30 days, a new 
purchase is required to access the template.

7. License and Permitted Use

Your purchase grants you a single‑use, non‑exclusive, non‑transferable license to customize and use the template for personal use or for one client, event, or project. You may export final files for personal or client use.

8. Restrictions

You may not resell, share, or redistribute the template files. You may not claim the design as your own. You may not upload templates to any marketplace or template library. You may not include templates in bundles or collections. You may not use one purchase for multiple clients or events. You may not allow others to reuse the template file. You may not mass‑produce or commercially reproduce the design. Funeral homes and service providers must purchase a separate license for each individual use.

9. Intellectual Property

All designs remain the intellectual property of Noted & Charmed. Purchasing a template does not transfer copyright. You receive a license to use the template, not ownership of the design.

10. Canva Platform Requirements

Our templates require a Canva account (free or paid). We are not affiliated with Canva and are not responsible for Canva platform changes, outages, or feature updates.

11. Canva Elements (Free, Licensed, and Canva Pro Disclaimer)

All Noted & Charmed templates are created using free Canva elements, original artwork created by Noted & Charmed, and/or properly licensed design assets. We do not use Canva Pro elements in our templates.

While editing your template, Canva may display optional Canva Pro graphics, fonts, photos, or features. If you choose to add any Canva Pro elements, Canva may charge you separately. These charges are not included in your template purchase, and Noted & Charmed does not control or receive any portion of these charges.

Canva may charge separately for any Pro elements you choose to add, as these are not included with the template purchase.

12. Third‑Party Links

Our website may contain links to third‑party websites. We are not responsible for the content, accuracy, or policies of third‑party sites. Use third‑party sites at your own risk.

13. Relationship with Shopify

Noted & Charmed is powered by Shopify, but all purchases are made directly with us. Shopify is not responsible for your transactions or digital downloads.

14. Privacy Policy

Your personal information is handled according to our Privacy Policy. Shopify may also collect and process information as described in their Privacy Policy.

15. Feedback

If you submit feedback, reviews, or suggestions, you grant us a perpetual, royalty‑free license to use that content for any purpose. You agree that your feedback will not violate any rights of third parties.

16. Errors, Inaccuracies, and Omissions

We reserve the right to correct or update information at any time without notice, including after an order has been placed.

17. Prohibited Use

You may not use our Services to violate laws, infringe intellectual property, transmit harmful code, scrape content, or misuse licensing. We may terminate access for violations of these Terms.

18. Agents (AI, Bots, Automated Tools)

Automated tools, bots, scrapers, or AI agents may not access or interact with our Services unless explicitly permitted.

19. Termination

We may terminate or restrict access to the Services at any time for violations of these Terms. Sections relating to intellectual property, licensing, liability, and governing law will survive termination.

20. Disclaimer of Warranties

Our digital products are provided “as is” and “as available.” We do not guarantee printing results, Canva performance, or uninterrupted access. Use of our products is at your own risk.

21. Limitation of Liability

Noted & Charmed is not liable for loss of data, printing errors, Canva platform issues, inability to access templates, or indirect or consequential damages. Your sole remedy is to discontinue use of the Services.

22. Indemnification

You agree to indemnify and hold Noted & Charmed harmless from any claims arising from your misuse of our templates or violation of these Terms.

23. Severability

If any part of these Terms is found unenforceable, the remaining sections remain in effect.

24. Waiver and Entire Agreement

Failure to enforce any part of these Terms does not waive our rights. These Terms constitute the entire agreement between you and Noted & Charmed.

25. Assignment

You may not assign your rights under these Terms. We may assign our rights without notice.

26. Governing Law

These Terms are governed by the laws of the State of California. Any disputes shall be resolved exclusively in California courts.

27. Headings

Headings are for convenience only and do not affect interpretation.

28. Changes to Terms

We may update these Terms at any time. Continued use of our Services constitutes acceptance of changes.
